These terms govern sales of fishing flies, fly assortments, recurring fly boxes, and approved fly-tying instructional content through The Fly Market / Two Guys Flies.
1. About these terms
By registering as a fly vendor or using the marketplace’s fly-selling features, you agree to these terms and the general Terms of Service. If you do not agree, do not use those features.
These terms apply to independent fly tiers and approved fly shops. Other physical products, such as art, gear, and apparel, are governed by the Product Vendor Terms. Property listings are governed by the Property Vendor Terms. A vendor offering multiple categories must comply with the terms applicable to each offering.
These terms take precedence for fly-specific matters where they differ from the general Terms of Service, subject to applicable law. A separately agreed Vendor Agreement controls an expressly agreed commission rate or payout arrangement. No agreement overrides a legal obligation that cannot be waived.
Subscriptions and protected instructional content may be offered only after marketplace approval and activation of the required billing, fulfillment, and access settings. Their inclusion in these terms does not establish that those features are already enabled for your storefront.
2. Storefront configuration & content
Standard storefront and product setup assistance is provided without a setup charge. Assistance may include descriptions, images, prices, variations, and supported shipping settings. You must review and approve your listings, stock, shipping charges, tax information, and customer policies before accepting orders.
You retain ownership of your submitted content and grant the marketplace a nonexclusive license to display and use approved content to operate and promote your storefront and the marketplace. You must own or have permission to use every submitted photograph, description, design, video, trademark, and other material.
Standard marketplace marketing is provided without a separate marketing fee. Participation does not guarantee individual promotion, traffic, or sales. Setup assistance does not transfer responsibility for your products, policies, or business operations to the marketplace.
3. Commission & payment-processing fees
- Current vendor-outreach commission: 15% on eligible fly-vendor sales, including approved recurring fly boxes and instructional-content sales, unless a different rate is agreed upon in your Vendor Agreement.
- Alternative arrangements: Any different rate, its duration, and its conditions must be confirmed in your Vendor Agreement. These terms do not schedule an automatic commission increase or specify an outreach expiration date.
- Calculation: The commission calculation, including treatment of shipping charges, discounts, subscriptions, and bundled physical and digital offerings, must be confirmed in your Vendor Agreement or written fee schedule before you accept orders. Separately itemized sales taxes are excluded from marketplace commission.
- Processing fees: Applicable credit card and other payment-processing fees are separate from marketplace commission. Actual charges may vary by processor, account, payment method, card origin, and currency. Applicable charges must be disclosed before you accept orders.
- Refund adjustments: Commission is reversed on fully refunded sale charges and adjusted for partially refunded sale charges. Processor-retained fees are handled under section 8.
Processing charges may apply to the full payment, including shipping and taxes, even when those amounts are excluded from the commission calculation. Any optional expedited-payout fee must be disclosed before that option is selected. A different commission rate does not waive processing fees unless expressly agreed.
4. Fly descriptions, variations & custom orders
Listings must accurately describe the flies being sold. Disclose the pattern, hook size, color, quantity or pack size, relevant materials, and whether the fly is barbed or barbless and weighted or unweighted. Identify any material specifications important to the advertised use, such as hook type or weight.
For variable products, maintain accurate prices, stock, photos, and specifications for each available combination. Clearly distinguish single flies, multipacks, and assortments. Do not imply that a photograph of several flies represents the quantity included when only one fly is sold.
Minor differences associated with hand tying may occur, but delivered flies must match the advertised specifications and quality. Handmade variation does not excuse incorrect sizes, missing quantities, materially different patterns, unsafe construction, or other defects. Fishing-performance claims must be truthful and must not guarantee results you cannot substantiate.
Assortments & substitutions
State whether an assortment contains the exact patterns shown or a vendor-selected mix. Disclose any selection rules, minimum quantities, and permitted seasonal variations before checkout. Obtain customer approval before making a material substitution outside those disclosed rules. If an agreed item cannot be supplied, arrange an approved alternative or an appropriate refund.
Made-to-order & custom flies
State production or tying time separately from carrier delivery time. Before accepting a custom order, confirm its specifications, expected shipment date, cancellation conditions, and any lawful return restrictions. Do not introduce a nonrefundable charge or stricter cancellation policy after the order is placed. Custom-order policies do not remove mandatory customer rights.
5. Shipping costs & fulfillment
You configure shipping costs and available destinations using the marketplace’s supported shipping settings. Before accepting orders, review your shipping origin, rates, handling times, delivery restrictions, and any free-shipping conditions.
- Account for packaging, postage, and any insurance or tracking included in your delivery service.
- Keep weights, dimensions, variation settings, and shipping classifications accurate where they affect rates.
- Test charges for multiple flies, packs, and combined orders. Separate charges may apply to products from different vendors and must be disclosed before checkout.
- Disclose production times for custom flies and shipping frequency for recurring boxes.
- Do not add an undisclosed shipping charge after an order is placed.
You are responsible for safely packaging sharp hooks, maintaining inventory, shipping to the order address, meeting your stated handling times, and providing shipment confirmation and tracking when available. Record shipment through the supported marketplace workflow. Creating a label alone does not establish shipment; the package must be handed to the carrier or other agreed delivery service.
If you cannot ship as promised, promptly notify the customer and marketplace and arrange a lawful revised date or cancellation and refund. Shipping-configuration assistance does not transfer fulfillment responsibility to the marketplace.
Enable international destinations only where supported and lawful. Clearly disclose applicable customs and import-charge responsibilities. Comply with destination and carrier restrictions on hooks, animal-derived materials, and other regulated contents.
6. Vendor payments & Stripe Connect
For physical fly orders, funds are released upon confirmed shipment, subject to cleared and available funds, required account verification, and payment-processor restrictions. Payment upon order may be approved where there is a business reason; the exception and conditions must be agreed upon in the Vendor Agreement before they apply.
For recurring fly boxes, the shipment-based payment trigger applies to each corresponding delivery. The first box does not establish fulfillment of later shipments. Any advance, prepaid-subscription, or partial-shipment payment arrangement must be separately documented, including allocation of funds and refund obligations.
For instructional content, the payout trigger must be agreed upon in writing before sales begin and tied to the promised delivery of access or service. Physical-shipment confirmation is not an appropriate payout trigger for a video-only sale.
The marketplace is adopting Stripe Connect for vendor disbursements. When enabled for your storefront, complete the required connected-account onboarding and maintain accurate payout information. Any interim arrangement must be confirmed before accepting orders.
Releasing funds or transferring them to a connected Stripe account is not the same as their arrival in a bank account. Deposit timing depends on Stripe settlement rules, account eligibility, payout settings, and your bank. Instant Payouts may be available to eligible accounts and balances, subject to Stripe requirements and disclosed fees; immediate bank receipt is not guaranteed.
Payments are net of applicable commission, processing fees, vendor-responsible refunds or disputes, and taxes the marketplace must collect and remit. Statements should identify gross payments, deductions, and adjustments.
Incomplete verification, unavailable funds, processor holds or reserves, suspected fraud, disputed payments, or legal restrictions may delay payment. We will notify you of a known delay and its reason when legally permitted.
7. Sales tax & other taxes
The Fly Market will collect and remit sales tax where applicable law requires it to do so as a marketplace facilitator. A vendor agreement or website setting cannot transfer a mandatory marketplace obligation to the vendor.
Provide accurate business, shipping-origin, product, and tax information. Tax treatment can vary by destination, physical or digital product type, shipping charges, exemptions, and jurisdiction. Bundled products and recurring subscriptions may require different tax settings.
You remain responsible for tax registration, reporting, collection, and remittance obligations the law assigns to you, including obligations for sales outside the marketplace. Your own income and business taxes remain your responsibility.
Responsibility for applicable taxes and handling of tax funds must be confirmed before accepting orders to avoid missing or duplicate collection. Where applicable, marketplace statements will identify taxes collected and amounts withheld for remittance.
Checkout tax calculation does not, by itself, establish that returns are filed or tax is remitted. Storefront assistance and Stripe Connect onboarding do not replace required tax compliance.
8. Cancellations & processing fees
Cancellation and refund policies must be clearly disclosed before checkout and comply with applicable law. The policy presented when the order is placed governs that order and cannot be made more restrictive retroactively.
Customer cancellations
When a customer cancels an order, the customer is responsible for actual payment-processing fees that the processor does not refund, provided the policy was clearly disclosed before checkout and the deduction is permitted by applicable law. Any remaining refund follows the applicable cancellation policy. No additional cancellation fee may be imposed unless previously disclosed and lawful.
This rule does not permit deductions from a legally required full refund. A refund request involving defective, misrepresented, undelivered, or otherwise legally refundable goods or content is not automatically a discretionary customer cancellation. Cancelling future subscription renewals does not create a processing fee for a payment that was never made.
Vendor cancellations
When a vendor cancels an order, the customer receives a full refund of the cancelled order, including its shipping charges, without a cancellation or processing-fee deduction. The vendor absorbs processing fees the processor does not return. For partial cancellations, refund the cancelled items and associated shipping charges as applicable; do not retain charges for a delivery service that will not be provided.
Refund handling
Handle cancellations and refunds through the marketplace’s original payment workflow and promptly notify the marketplace when an adjustment is needed. Commission is reversed on fully refunded sale charges.
If you have already received funds, vendor-responsible refund amounts and retained processing fees may be reconciled against available funds or repaid, with itemized accounting and subject to applicable law. Avoid outside refunds that could cause duplicate refunds or prevent correct reconciliation.
9. Returns, defects & delivery issues
Before checkout, disclose your return-request window, condition requirements, process for obtaining return instructions, and responsibility for return shipping. Explain any lawful restrictions for used, personalized, or made-to-order flies. A disclosed restriction does not remove mandatory customer rights.
For an ordinary change-of-mind return, return-shipping responsibility follows the policy disclosed before checkout, subject to applicable law. Do not impose undisclosed return fees.
For incorrect patterns, hook sizes, pack quantities, defects, transit damage, material misrepresentation, or legally actionable nondelivery, cooperate promptly with the customer and marketplace to provide an appropriate replacement, refund, or other lawful remedy. Customers must not bear costs that applicable law assigns to the vendor or marketplace.
Maintain fulfillment records and assist with carrier claims. Carrier investigations and tracking status do not remove customer rights or justify delaying a legally required remedy. Assess quality complaints fairly; ordinary wear from fishing does not automatically establish a manufacturing defect, and a lack of fishing success alone does not establish that an accurately described fly is defective.
10. Recurring fly boxes & subscriptions
Recurring offerings require marketplace approval and properly configured billing and fulfillment. Before enrollment, clearly disclose:
- The recurring price, billing frequency, taxes, shipping charges, and any initial or promotional pricing conditions.
- Whether enrollment renews automatically, any minimum commitment, the shipment schedule, and what each delivery includes.
- Whether box contents are fixed or selected by the tier, and any disclosed substitution rules.
- How to cancel, any lawful cutoff for the next charge or shipment, and treatment of already-billed boxes and prepaid balances.
- How customers will be notified of permitted changes to price, contents, or delivery schedules.
Obtain required affirmative consent to recurring charges and provide any legally required confirmations, notices, and accessible cancellation method. Do not require customers to use a cancellation process more restrictive than applicable law permits.
Distinguish stopping future renewals from requesting a refund of an already-billed shipment. A customer’s cancellation of future renewals must stop future charges as required by the disclosed policy and law. Already-billed shipments remain subject to their lawful cancellation and fulfillment terms.
If you discontinue a subscription or cannot provide a billed delivery, arrange an appropriate refund for the unfulfilled portion without shifting vendor-cancellation processing costs to the customer. Maintain records connecting each subscription charge to its promised deliveries.
Recurring billing and protected content access must not be represented as operational until the relevant configuration has been approved and enabled.
11. Paid instructional videos & digital access
Paid instructional offerings require marketplace approval and configured access controls. Before checkout, identify the content supplied, whether access is streamed or downloadable, the promised access period, supported access requirements, and whether payment is one-time or recurring.
Do not advertise permanent or lifetime access unless the scope and duration of that commitment have been approved and clearly defined. Explain what happens to access when a subscription ends and how prepaid access will be handled if the offering is discontinued.
You must own or have permission to use all instructional footage, music, graphics, text, and other included materials. Customers receive the license disclosed at purchase; unless a broader license is expressly granted, access is for personal, noncommercial use and does not authorize redistribution, resale, or public posting. Lawful customer rights remain unaffected.
Disclose the digital refund policy before checkout. Do not assume that a no-refund statement overrides applicable cancellation rights. Obtain any legally required consent before supplying content during a statutory cancellation period.
If promised access is not delivered, fails materially, or is withdrawn before the agreed access period ends, promptly restore access or provide an appropriate lawful remedy. Vendor-caused failure must not be treated as a discretionary customer cancellation merely to deduct processing fees. Instructional subscriptions also follow section 10 where applicable.
For bundles of flies and digital content, clearly describe both components, their delivery timing, and any allocation needed for refunds or payouts before accepting orders.
12. Chargebacks & payment disputes
A chargeback is a dispute through the customer’s bank or card issuer, separate from an ordinary cancellation. Promptly supply requested order records, recurring-payment consent, shipment and tracking information, customer communications, and digital-access records needed to respond within processor deadlines.
Responsibility for disputed amounts and dispute fees will be assessed under the Vendor Agreement, the dispute reason, fulfillment records, processor rules, and applicable law. Vendor-responsible deductions must be itemized. The property-vendor fraud-protection policy does not automatically apply to fly vendors.
Customers are not automatically penalized for exercising legitimate dispute rights. Processor holds may temporarily affect fund availability while a dispute is reviewed.
13. Vendor responsibilities & product safety
- Have authority to sell your offerings and keep contact, pricing, stock, tax, and payout information accurate.
- Truthfully describe whether flies are tied by you, produced by another supplier, or resold. Do not misrepresent authorship, origin, or affiliation.
- Use lawfully sourced materials and comply with applicable restrictions on feathers, fur, wildlife products, imports, exports, and destination-specific fishing requirements.
- Disclose sharp-hook and other material safety risks where appropriate, use protective packaging, and comply with applicable product-safety and labeling requirements.
- Ensure your offerings and promotional content do not infringe others’ intellectual-property rights.
- Honor accepted orders and disclosed policies, and respond promptly to customer and marketplace concerns.
- Monitor the Vendor Dashboard and notification email, including spam folders. Email delivery can be delayed or filtered and does not replace order monitoring.
- Protect customer information and use it only for authorized fulfillment or another lawful purpose. Do not add customers to marketing lists without a lawful basis.
You operate independently and are not an employee, agent, or legal partner of the marketplace. Participation does not transfer responsibility for your products, instruction, or business operations to us. Safety warnings do not exclude liabilities or customer rights that cannot lawfully be excluded.
14. Ending participation, updates & applicable law
You may pause listings or request removal of your storefront by contacting the marketplace. The marketplace may restrict or remove offerings or accounts for fraud, unlawful activity, safety concerns, or violations of applicable terms.
Ending participation does not automatically cancel accepted orders, resolve active subscriptions, end promised prepaid digital access, or remove amounts owed. Outstanding deliveries, refunds, returns, taxes, disputes, and final payments must be resolved. Coordinate cancellation of future recurring charges and lawful handling of prepaid deliveries and access before closing an offering.
A final itemized accounting will be provided when outstanding amounts can be determined. Payment reconciliation, customer confidentiality, and legally required recordkeeping obligations continue after participation ends.
Material changes to these terms or commission arrangements will be communicated before applying to new sales and reflected in the applicable Vendor Agreement where required. These terms do not automatically increase the current 15% outreach rate. Separately agreed rates remain subject to their stated conditions, and changes do not retroactively alter the commission or customer policy for an existing accepted order. Changes affecting recurring customers require applicable notice and consent.
The general Terms of Service also govern acceptable use, marketplace content, disclaimers, and dispute matters to the extent consistent with these terms and applicable law. These terms are governed by North Carolina law, subject to mandatory laws applicable to the transaction or parties.
Nothing in these terms excludes a right, remedy, or obligation that cannot lawfully be excluded. If a provision is unenforceable, the remaining provisions remain effective to the extent permitted by law.
